1. Developers Terms
IntroductionThese Developer Terms ("Terms") govern the creation and launch of projects ("Rockets") on the Pixpel Launchpad, as well as use of the NFT Marketplace, DEX, and related tools (the "Platform") operated by Pixpel FZ-LLC, RAK Free Trade Zone, Ras Al Khaimah, UAE ("Operator").
By creating a Rocket on the Launchpad, you ("Developer") agree to these Terms.
2. Eligibility
- You are at least 18 years old and have full legal capacity.
- You are not a resident, national, or located in:
- The European Union
- The United States
- The United Kingdom
- Any jurisdiction subject to UN, EU, OFAC, or other sanctions
- You comply with all applicable laws in your jurisdiction.
3. Creating a Rocket
- A Rocket is a fundraising smart contract deployed through the Platform.
- The Developer defines all parameters of the Rocket (token, vesting, hard/soft cap, etc.).
- By deploying a Rocket, you represent that:
- Your token or NFT is a utility or community token, not a security or financial instrument.
- You have disclosed tokenomics, risks, and project details accurately.
- You own or have rights to all intellectual property associated with your project.
4. Misrepresentation and False Endorsements
Developers must not:
- Make false, misleading, or unverified claims about returns, performance, or future value.
- Use third-party logos, trademarks, or brands without authorization.
- Imply sponsorship or endorsement by Pixpel, partners, or third parties unless formally documented.
Pixpel may suspend or delist any Rocket or project that breaches this rule.
5. Responsibilities of Developers
Brand Misuse & Trademark Infringement:
- You must not use any logos, trademarks, or brand identifiers of third parties without proper authorization.
- You must not impersonate, misrepresent affiliation with, or suggest sponsorship by third parties.
Pixpel reserves the right to suspend or remove any Rocket or Developer account that violates this rule and disclose Developer details to rights holders if required by law.
Developers using the Pixpel Launchpad may either register an existing token or deploy a new one through the Token Factory. In both cases, the Developer remains the legal issuer. Pixpel FZ-LLC provides deployment and infrastructure only.
6. Technical Failures and Smart Contracts
- The Platform and its smart contracts are experimental and may contain bugs or vulnerabilities.
- Developers assume 100% of losses caused by hacks, exploits, network congestion, forks, gas spikes, or blockchain failures.
- Pixpel does not guarantee the integrity or execution of any fundraising contract.
7. Project Terms Template Requirement
Every Rocket must include Project Terms accepted by contributors, covering:
- Tokenomics and vesting schedule.
- Soft/hard cap logic and refund rules.
- Distribution and claim procedures.
- Developer’s contact details.
- Governing law and dispute resolution venue.
If not provided, the default governing law and venue shall be Dubai, UAE (DIAC arbitration, English language).
8. Pixpel’s Role
- Acting solely as a software provider.
- Not acting as a broker, agent, underwriter, or financial advisor.
- Having no control over funds raised through a Rocket.
- Reserving the right to remove, suspend, or restrict any Rocket.
9. No Custody of Funds
- All fundraising is executed directly on-chain using non-custodial wallets.
- Pixpel never has access to Developer or user funds.
- Distribution of tokens is Developer’s responsibility.
10. Fees
- Listing fees.
- Transaction fees.
- Success-based fees.
- Fee structures will be published and may be updated periodically.
11. Risks and Disclaimers
- Blockchain fundraising is experimental and high-risk.
- Participation in Rockets may result in 100% loss.
- Pixpel makes no guarantees around success, liquidity, or outcomes.
- No financial, legal, or tax advice is provided.
12. Indemnity
- Developers agree to indemnify Pixpel, affiliates, and officers from claims, damages, or liabilities arising from:
- Their use of the Platform.
- Any Rocket, token, or NFT launched.
13. Termination
- Pixpel may suspend access to the Launchpad for breach of Terms.
- Termination does not remove pre-existing obligations.
14. Governing Law
- These Terms are governed by the laws of the UAE (RAK Free Zone).
- Disputes resolved by binding arbitration in Dubai, English language, DIAC rules.
