Pixpel Player Participation Terms
Introduction
These Player Participation Terms ("Terms") govern your use of the Pixpel platform, including the Launchpad (Rockets), NFT Marketplace, decentralized exchange (DEX), and staking/rewards features (collectively, the "Platform"), operated by Pixpel FZ-LLC, RAK Free Trade Zone, Ras Al Khaimah, UAE ("Pixpel", "we", "our"). By using the Platform, you agree to these Terms.
Eligibility and Restrictions
- You must be at least 18 years old and have legal capacity.
- You must not be a resident, national, or located in:
- The European Union;
- The United States.
- The United Kingdom.
- Any country or territory subject to UN, EU, OFAC, or other applicable sanctions.
- You are solely responsible for complying with the laws of your jurisdiction.
Non-Custodial Nature; Wallets
- Pixpel does not provide custody. All interactions occur via non-custodial wallets you control (e.g., MetaMask).
- Transactions are executed on-chain and are irreversible once confirmed.
- You are solely responsible for safeguarding your wallet, keys, and seed phrase.
Launchpad (Rockets) – Participation
- A "Rocket" is a fundraising smart contract deployed by an independent developer ("Developer").
- When you contribute to a Rocket, you are entering a transaction with the Developer, not with Pixpel.
- Each Rocket may include Project Terms (e.g., tokenomics, vesting, soft/hard cap, refund/claim logic, milestones, governing law). You must review and accept those Project Terms before contributing.
- Soft/Hard Cap & Refunds: Any refund/claim condition is governed by the Rocket smart contract and its Project Terms. Pixpel does not hold funds and does not process refunds.
- No Advice/No Endorsement: Listings and display on the Platform are informational only and do not constitute advice, due diligence, or endorsement by Pixpel.
- Delivery/Risks: Token delivery, schedules, vesting, and performance are solely the Developer's responsibility. Participation may result in total loss.
NFT Marketplace – Buying, Listing, and Resale
- Buying an NFT transfers ownership of the token ID; it does not automatically transfer copyright or other IP rights unless a license is expressly provided by the creator.
- Default license (absent explicit creator license): limited, non-exclusive right to display, use, and resell the NFT for personal, non-commercial purposes.
- You must not list or sell infringing, illegal, or offensive content. Pixpel may remove listings that violate policies or law.
- Secondary sales royalties (if any) are enforced as specified in the NFT metadata/market contract and may vary by collection/market standards.
DEX – Swaps and Liquidity
- Swaps are executed by smart contracts on a non-custodial basis and may fail or be re-ordered due to network conditions (e.g., MEV, slippage).
- Prices are volatile; liquidity may be thin. You accept the risk of loss, failed transactions, and price impact.
Staking and Rewards
- Staking (if offered) is governed by the applicable staking contract and any posted staking terms.
- APY/returns are not guaranteed and may change or cease at any time.
- Early unstakes may be restricted or penalized as defined by the contract.
Prohibited Conduct
You must not use the Platform to:
- Violate any law or regulation (including AML/CFT rules and sanctions).
- Commit fraud, market manipulation (wash trading, spoofing), or misrepresentation.
- Upload or trade infringing, defamatory, or illegal content.
- Deploy or interact with malware, exploits, or phishing schemes.
Risk Disclosure
- Digital assets are volatile and may become worthless.
- Smart contracts and blockchains can fail, be exploited, or behave unexpectedly.
- Regulatory changes may affect availability or legality of features or assets.
- You should obtain independent legal, financial, and tax advice.
No Warranties; Platform Role
- The Platform is provided "as is" and "as available" without warranties of any kind.
- Pixpel is a software provider; it does not act as broker, agent, underwriter, or adviser.
- Pixpel does not control, validate, audit, or guarantee any Developer, Rocket, NFT, token, or outcome.
Disputes and Allocation of Responsibility
- Player vs. Developer: Any dispute arising from a Rocket or a Developer's project (including token delivery, vesting, milestones, or representations) shall be resolved under that Rocket's Project Terms between you and the Developer. Pixpel is not a party.
- Player vs. Pixpel: Any dispute regarding your use of the Platform (UI, access, moderation decisions, fees) shall be governed by Section 15 (Governing Law & Arbitration).
- If a Rocket lacks clear governing law or venue in its Project Terms, you agree that disputes with the Developer may be brought in Dubai (DIAC arbitration), English language, by default.
Indemnity
You agree to indemnify and hold harmless Pixpel, its affiliates, and officers from any claims, losses, liabilities, and expenses arising out of or related to:
- Your use of the Platform;
- Your participation in any Rocket;
- Your listings and purchases on the NFT Marketplace;
- Your violation of these Terms or applicable law.
Limitation of Liability
- To the maximum extent permitted by law, Pixpel shall not be liable for indirect, incidental, special, punitive, or consequential damages, or for loss of profits, data, or goodwill.
- Pixpel's aggregate liability to you for claims relating to the Platform shall not exceed the fees (if any) paid by you to Pixpel in the 12 months preceding the event giving rise to liability.
- Funds contributed to a Rocket are not fees paid to Pixpel.
Compliance; KYC/AML; Sanctions
- Pixpel may require KYC/AML checks for certain actions (e.g., Launchpad contributions) and may block users from restricted jurisdictions.
- Pixpel may suspend or terminate access where required by law or compliance policy.
Governing Law & Arbitration (Player vs. Pixpel)
- These Terms are governed by the laws of the United Arab Emirates (RAK Free Zone).
- Any dispute between you and Pixpel shall be resolved by binding arbitration in Dubai, in English, under the rules of the Dubai International Arbitration Centre (DIAC).
- Class Action Waiver: You and Pixpel agree to resolve disputes only on an individual basis; class actions and class arbitrations are waived.
Changes and Enforcement
- Pixpel may modify these Terms at any time by posting the updated version. Continued use after the effective date constitutes acceptance.
- Pixpel may remove content or restrict access where it believes a violation has occurred.
